What it is

An NDA (non-disclosure agreement) is a legal contract that sets rules for how confidential information can be used and shared. In sourcing, NDAs are commonly used when sharing designs, supplier lists, or commercial plans.

Limits and practical use

An NDA does not replace careful partner selection, access control, or clear marking of what is confidential. Also, not every factory relationship needs a bespoke NDA; sometimes a sensible mutual NDA template is enough if both sides agree.
